End-User License Agreement (EULA) of Millionaire

TERMS

This End-User License Agreement (“EULA”) is a legal agreement between you and Savy Soda Pty Ltd only, and not Apple or Google.
This EULA agreement governs your use of Millionaire (“Software” and “Service”) directly from Savy Soda Pty Ltd (aka “SavySoda”) or indirectly through a Savy Soda Pty Ltd authorized reseller or distributor (a “Reseller”).

Please read this EULA agreement carefully before using the Millionaire. It provides a license to use the Millionaire and contains warranty information and liability disclaimers.
By clicking “accept” or installing and/or using the Millionaire software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Software supplied by Savy Soda Pty Ltd herewith regardless of whether other software is referred to or described herein. The terms also apply to any Savy Soda Pty Ltd updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

In addition, by using Millionaire. You are bound by terms of the Google Maps Platform Terms of Service (https://cloud.google.com/maps-platform/terms/) and the Google Privacy Policy (https://www.google.com/intl/ALL/policies/privacy/index.html).

License Grant
Savy Soda Pty Ltd hereby grants you a personal, non-transferable, non-exclusive licence to use Millionaire on your devices in accordance with the terms of this EULA agreement.
You are permitted to load the Millionaire software under your control. You are responsible for ensuring your device meets the minimum requirements of the Millionaire software.
You are not permitted to:

• Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things
• Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose
• Allow any third party to use the Software on behalf of or for the benefit of any third party
• Use the Software in any way which breaches any applicable local, national or international law
• use the Software for any purpose that Savy Soda Pty Ltd considers is a breach of this EULA agreement

Intellectual Property and Ownership
Savy Soda Pty Ltd shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Savy Soda Pty Ltd.

Savy Soda Pty Ltd reserves the right to grant licences to use the Software to third parties.

Consent to Use of Data
You agree that Licensor may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals— that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Licensed Application. Licensor may use this information to improve its products or to provide services or technologies to you. Please refer to our privacy policy for details.

External Services
The Licensed Application may enable access to Licensor’s and/or third-party services and websites (collectively and individually, “External Services”). You agree to use the External Services at your sole risk. Licensor is not responsible for examining or evaluating the content or accuracy of any third-party External Services, and shall not be liable for any such third-party External Services. Data displayed by any Licensed Application or External Service, including but not limited to financial, medical and location information, is for general informational purposes only and is not guaranteed by Licensor or its agents. You will not use the External Services in any manner that is inconsistent with the terms of this Standard EULA or that infringes the intellectual property rights of Licensor or any third party. You agree not to use the External Services to harass, abuse, stalk, threaten or defame any person or entity, and that Licensor is not responsible for any such use. External Services may not be available in all languages or in your Home Country, and may not be appropriate or available for use in any particular location. To the extent you choose to use such External Services, you are solely responsible for compliance with any applicable laws. Licensor reserves the right to change, suspend, remove, disable or impose access restrictions or limits on any External Services at any time without notice or liability to you.

Third Party Beneficiary
Your mobile OS is a third party beneficiary of this License Agreement, and, upon your acceptance, such third party beneficiary will have the right (and will be deemed to have accepted the right) to enforce this agreement against you.

Termination
This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Savy Soda Pty Ltd.
It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

NO WARRANTY
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION AND ANY SERVICES PERFORMED OR PROVIDED BY THE LICENSED APPLICATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LICENSOR OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU. TO THE EXTENT ANY WARRANTY EXISTS UNDER LAW THAT CANNOT BE DISCLAIMED, SAVY SODA PTY LTD, NOT APPLE, SHALL BE SOLELY RESPONSIBLE FOR SUCH WARRANTY.

Product Claims
Savy Soda Pty Ltd does not make any warranties concerning Millionaire. To the extent you have any claim arising from or relating to your use of Millionaire, Savy Soda Pty Ltd, not Apple is responsible for addressing any such claims, which may include, but are not limited to: (i) any product liability claim, (ii) any claim that Millionaire fail to conform to any applicable legal or regulatory requirement; and (iii) any claim arising under consumer protection or similar legislation. Nothing in this Addendum shall be deemed an admission that you may have such claims.

Maintenance and Support
Because Millionaire is free to download and use, Savy Soda Pty Ltd does not guarantee any maintenance or support. If you have a support enquiry you should email mail@savysoda.com. To the extent that any maintenance or support is required by applicable law, Savy Soda Pty Ltd, not Apple or Google, shall be obligated to furnish any such maintenance or support.

Limitation of Liability
TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall Licensor’s total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of fifty dollars ($50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

Governing Law
This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Australia. You agree to submit to the personal and exclusive jurisdiction of the courts located within the country of Australia, to resolve any dispute or claim arising from this Agreement.

U.S. Legal Compliance
You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

PRIVACY

Millionaire is designed to use GPS and real world location information to create a game simulation. To provide the services, we need to collect information from you. We only use your information where we have a legal basis to do so. Please refer to the Privacy Policy to understand what information we collect, how we use it and what choices you have.

USE OF THE SERVICE

Cheating
SavySoda prohibits cheating in any of its games. SavySoda will take action against any users found to be cheating including permanent account bans. Cheating includes but is not limited to:

• Using unauthorised tools to gain an unfair advantages over other users.
• Using methods to simulate GPS location (spoofing) or emulate user behaviour (botting).
• Playing with multiple accounts.

Safety
While using Millionaire, ensure you are aware of your surroundings at all times and take responsibility of your own safety. You agree that your use of the Services is at your own risk.

Interation with Other Users
You agree to maintain safe and appropriate contact with other users and people in the real world. You will not harass threaten or otherwise violate the legal rights of others. You will not trespass on any properties. You agree not to engage in any activity that may result in property damage, injury, death , or liability of any kind. If you have a dispute with any third party relating to your use of the product and service, you release Savy Soda Pty Ltd and it’s Stakeholders from all claims, demands, and damages (actual and consequential) of every kind and nature arising out of or in any way connected with such disputes.

Eligibility

You must be 16 years of age or older to use the Service.

TO THE EXTENT PERMITTED UNDER APPLICABLE LAW, SAVY SODA PTY LTD DECLINES ANY RESPONSIBILITY REGARDING ANY ACTIVITIES CONDUCTED BY A CHILD WITH OR WITHOUT THE PERMISSION OF A PARENT.
